Speaker Agreement

This Speaker Agreement (hereinafter known as “Agreement”), is hereby made effective by and between the Speaker and Another Rose LCC Event Organizer.

 

WHEREAS, Another Rose LCC Event Organizer  wishes to engage Speaker to speak at an event (“Event”);

WHEREAS, Speaker accepts the invitation of the Another Rose LCC Event under the terms of agreement specified below;

NOW, therefore, for and in consideration of the foregoing premises and covenants contained herein, as well as other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the Parties hereby agrees as follows:

  • Scope. This agreement sets forth the terms and conditions of the Speaking engagement accepted by the Speaker, offered by Another Rose LCC Event Organizer . In connection with its respective engagement with Another Rose LCC Event Organizer, the Speaker also agrees to provide authority and content ownership to Another Rose LCC Event Organizer and its respective affiliates, directors, officers, employees, agents or advisors (collectively known as, “Representatives”).​

  • Event Details. The Speaker accepts the engagement for a talk that he/she shall share or contribute his/her knowledge in relation to the following event.

  • Compensation. In consideration of the services rendered by the Speaker, Another Rose LCC Event Organizer  agrees to pay the Speaker the amount of $____ USD. And the Speaker must agree to provide written content rights to Another Rose LCC Event Organizer , thus allowing Another Rose LCC Event Organizer  to use the webinar content for commercial and marketing use. If the Speaker has an online presence, he/she needs to list Another Rose LCC Event Organizer  website to his/her website, otherwise no compensation will be provided.

  • Responsibility and Privacy. The Speaker shall disclose his or her professional qualifications to Another Rose LCC Event Organizer  for the purpose of introduction and for published materials. The Speaker shall keep all confidential information disclosed by Another Rose LCC Event Organizer. "Confidential Information" shall mean (i) all information relating to Another Rose LCC Event Organizer  products, business and operations including, but not limited to, financial documents and plans, customers, suppliers, manufacturing partners, marketing strategies, vendors, products, product development plans, technical product data, product samples, costs, sources, strategies, operations procedures, proprietary concepts, inventions, sales leads, sales data, customer lists, customer profiles, technical advice or knowledge, contractual agreements, price lists, supplier lists, sales estimates, product specifications, trade secrets, distribution methods, inventories, marketing strategies, source code, software, algorithms, data, drawings or schematics, blueprints, computer programs and systems and know-how or other intellectual property of Disclosing Party and its affiliates that may be at any time furnished, communicated or delivered by Another Rose LCC Event Organizer  to the Speaker, whether in oral, tangible, electronic or other form; (ii) the terms of any agreement, including this Agreement, and the discussions, negotiations and proposals related to any agreement; (iii) all other non-public information provided by Another Rose LCC Event Organizer  whosoever. All Confidential Information shall remain the property of Another Rose LCC and its affiliates.

  • Facilities. The Speaker must have the following for the Speaker’s perusal during the “Event”:

ii. Working Camera

iii. Working Microphone

  • Non-Exclusivity. Another Rose LCC Event Organizer  does not hold exclusive engagement with the Speaker. Speakers may choose to engage with any other business activities.

  • Cancellation. Should either party wish to cancel the engagement or any part of this Agreement, the party must notify the other for the cancellation by 48 hours. Any advanced payments made by Another Rose LCC Event Organizer  to the Speaker shall be returned to Another Rose LCC Event Organizer.

  • Intellectual Property. All information or intellectual property shared by the Speaker shall be transferred to Another Rose LCC Event Organizer.

  • Modifications. Any modifications, alterations or change to this Agreement shall not be made enforceable unless being made in writing and duly signed by both Parties.

  • Non-Waiver. The failure of any party to insist on their right for compliance with performance to any of the terms, conditions and covenant indicated herein shall not be deemed as a waiver of the Party.
